By agreeing to this agreement, your business, or you (‘the Member’) will become a Member of Employer Pro and have access to the Member benefits and services contained in your chosen Employer Protection Package.
The Member agrees to our ‘General Service Terms’ on our website, which may be updated from time to time and forms part of this agreement. You can find this information here.
The Member agrees to pay the applicable subscription fee, including any additional fees, or charges they have agreed to in consideration of the benefits and services provided under their chosen Employer Protection Package. The Member agrees to the applicable pricing, services and support options based on their subscription package.
The Member confirms they understand our Memberships and Pricing Options, including the extent of their services and support options under their selected subscription package. Refer to our ‘Memberships’ page on our website for more information on each Employer Protection Package, including related services and support options.
The Member will be entitled to the applicable benefits and options for support for the duration of their subscription period, including the use of Employer Pro’s Employer Resource Hub.
This agreement is effective for a minimum term of 12-months and will automatically renew for further 12-month term(s), unless the Member provides written notice of cancellation at least fourteen days prior to the end of their subscription period to [email protected]. The Member agrees to automatic renewals each year. If the Member cancels their subscription during the minimum term, the applicable annual subscription package fee remains payable.
The Member agrees to only use our resources, i.e. our intellectual property, which is protected by law in accordance with our business model and marketed purpose. The Member agrees that our products and services are only to be used for the purpose they are intended, which is to support them in the capacity as an employer and managing associated compliance, or assistance.
The Member agrees to ensure their own sound judgement and responsible use of our services, including mitigating their potential legal risk exposure to claims. The Member remains liable for any actions or omissions arising out of their legislative obligations, including the Employment Relations Act 2000, or related legislation. The Member cannot abrogate any fault, loss or otherwise for decisions that they choose to make, unless it has been in reliance on our advice provided within the scope of the services under the applicable subscription or engagement, and that advice is established to be materially incorrect.
The services provided under the terms of this agreement are for the sole and exclusive use of the Member. The Member agrees to consider and apply advice provided by our staff where appropriate, exercising their own judgement as an employer, including any applicable resources such as eBooks, or Employer Resource Packs, Webinars or other information where it applies. The Member also agrees to constructive & respectful cooperation with Employer Pro.
We are not responsible or liable for any loss, damage, or claim arising where the Member fails to use our services appropriately, does not follow recommendations, or fails to take reasonable steps to conduct their own due diligence. This includes any situations where the Member fail to use our services, not follow, or ignore any advice or recommendations provided, including situations where the Member has failed to take reasonable steps to conduct their own due diligence through the proper utilization of our services and support options.
The Member can cancel this agreement and request a pro-rated refund on the balance of their subscription period in the event of any material, or significant breach of their service package (unless the breach has been caused by an event or circumstances outside, or beyond our control), OR where there is otherwise a legitimate reason and this is a matter solely for Employer Pro to determine on a case-by-case basis. Beyond the circumstances contemplated in this clause, we operate a policy of ‘no refunds’, unless otherwise required by law.
Should the Member fail to pay any agreed fees, then service may be suspended until any outstanding invoice(s) are paid in full. The Member agrees to pay any associated costs incurred relating to the collection of the agreed fees, or charges. Interest will accrue at the maximum rate provided by law on any unpaid invoices, or on bad debts that are 90-days or more in arrears, and applicable from the first day of non-payment.
The Member acknowledges and agrees that, as set out in the General Service Terms, Employer Pro is not a law firm and its services do not constitute regulated legal services or legal advice.
